Interest on Time Extension Fees Waived Due to Prolonged Delay by UPSIDC; Lessee Directed to Pay Recalculated Dues
In a significant ruling, the Allahabad High Court delivered a balanced judgment in the case of M/s Uttam Lifestyle Hotels Private Limited versus the State of U.P. and others, addressing a longstanding industrial lease dispute. The court found both the petitioner, M/s Uttam Lifestyle Hotels, and the respondent, Uttar Pradesh State Industrial Development Corporation Limited (UPSIDC), equally responsible for delays in the execution and compliance with lease conditions.
The petitioner had sought quashing of UPSIDC's demand for Rs. 86,41,002 as time extension fees and other charges, citing undue delay by the respondent in processing the time extension application. The court acknowledged that the UPSIDC had indeed delayed its decision on the time extension application for nearly eight years. In response, the court waived the interest on the time extension fees up to the date when UPSIDC finally made its decision.
The judgment emphasized the legal principle that neither party should benefit from its own fault. The court found that while UPSIDC’s delay was significant, the petitioner also failed to act in a timely manner regarding the construction and operationalization of the industrial unit. The petitioner was criticized for not seeking legal recourse sooner to expedite the pending application.
The court directed UPSIDC to recalculate the outstanding dues, excluding the interest on the time extension fees up to the date of their decision. M/s Uttam Lifestyle Hotels was ordered to pay the recalculated amount and provide an undertaking to make the industrial unit functional as per the lease conditions.
This decision underscores the court's effort to enforce accountability on both parties and to ensure equitable outcomes in contractual disputes. The ruling serves as a reminder of the importance of timely compliance and proactive legal action in the face of bureaucratic delays.
Bottom line:-
Industrial lease agreements - Delay in approval of building plans and imposition of time extension fees - Both parties held responsible for delay; interest on time extension fees waived until date of decision by the respondent authority due to their inaction.
