Delay in Registration Attributed to Stamp Duty Adjudication; Court Orders Registration Without Penalty


In a landmark decision, the Bombay High Court has ruled in favor of Kalpataru Gardens Limited, directing the State of Maharashtra to register the company’s lease deed without penalty. The judgment was delivered by a division bench comprising Chief Justice Mahesh Chandra Tripathi and Justice Advait M. Sethna.


The case revolved around a lease deed executed on July 14, 2017, between Kalpataru Gardens Limited and another party for a non-agricultural land parcel in Mumbai. The lease was subject to a stamp duty adjudication process that extended from August 9, 2017, to April 3, 2025. Due to this prolonged process, the lease deed was not presented for registration within the prescribed period under Sections 23 and 24 of the Registration Act, 1908.


Kalpataru Gardens Limited had initially applied for the adjudication of stamp duty, which was delayed due to an appeal process and the COVID-19 pandemic. The lease deed was ultimately adjudicated under the Maharashtra Stamp Duty Amnesty Scheme 2023, with the requisite stamp duty paid and endorsed by the Collector of Stamps.


Despite fulfilling these requirements, the registering authority refused to register the document, citing the delay beyond the statutory period. The petitioners argued that the delay was due to factors beyond their control and that the adjudication process should be excluded from the limitation period for registration.


The court, relying on precedents such as the Supreme Court's decision in Raj Kumar Dey v. Tarapada Dey, emphasized the principles of equity, stating that substantive rights cannot be defeated due to delays not attributable to the petitioners. The court reiterated that the time consumed in adjudication should be excluded from the computation of the registration period.


In its judgment, the court quashed the impugned orders refusing registration and directed the registration of the lease deed without penalty. The court's decision underscores the legislative intent to ensure that genuine delays, especially those caused by procedural adjudications, do not hinder substantive legal rights.


This ruling is expected to have significant implications for similar cases, reinforcing the legal principle that administrative delays should not prejudice the rights of parties seeking registration of their documents.
